1. Who These Terms Apply To
These Terms and Conditions apply to all visitors to the Qevanta Technologies Ltd website (qevantatechnologies.co.uk), as well as prospective and current clients who enquire about or engage us for IT consultancy, software engineering, or technical advisory services.
By browsing our site or requesting our services, you agree to these terms in full.
2. Services & How We Work
Qevanta Technologies Ltd provides services including AI engineering, workflow automation, web development, backend and API development, and technical consultancy.
Work only begins after a written proposal is agreed. We do not undertake unconfirmed or undocumented verbal work. Every project engagement starts with a written proposal setting out the agreed scope of work, deliverables, timeline, and pricing agreed upon by both parties in writing.
If a signed proposal conflicts with these terms, the signed proposal prevails.
3. Payment Terms & Invoicing
Invoices are issued in accordance with the milestone schedule or payment terms agreed in each project's written proposal (for example, a commencement deposit, staged milestone invoices, or completion payment).
- Due Dates: Invoices are payable within 14 days of the invoice date unless the written proposal states otherwise.
- Late Payment Clause: In accordance with the UK Late Payment of Commercial Debts (Interest) Act 1998, we reserve the right to charge statutory interest (calculated at 8% plus the Bank of England base rate) alongside statutory debt recovery compensation on commercial payments not received by the agreed due date.
4. Intellectual Property
We believe in fair, clear ownership of digital assets:
- Client Work Product: All bespoke software code, custom configurations, documentation, and digital deliverables created specifically for you under an agreed proposal become the property of the client upon receipt of full payment for that work.
- Retained Tools & General Know-How: Qevanta Technologies Ltd retains all rights and ownership over pre-existing software libraries, reusable generic utility code, development frameworks, and general technical know-how developed independently of the client's specific proprietary project. Clients receive a perpetual, royalty-free license to use any such embedded utilities within their delivered system.
5. Confidentiality
We respect your business secrets and sensitive data. We treat all non-public commercial information, project requirements, proprietary algorithms, and business data provided by clients with strict confidentiality.
We do not disclose client information to any third party, except where strictly necessary to deliver agreed services (such as accessing client-approved third-party APIs or infrastructure) or where required by UK legal authority.
6. Limitation of Liability
To the fullest extent permitted by English law, our total aggregate liability arising out of or related to any project engagement, whether in contract, tort (including negligence), or otherwise, is strictly limited to the total fees paid by the client for that specific project.
We will not be liable for any indirect, incidental, or consequential losses, including loss of anticipated profit, business revenue, data loss, or business opportunity.
Nothing in these terms limits or excludes liability that cannot legally be excluded under the laws of England and Wales, including liability for death or personal injury caused by negligence, or fraud.
7. Governing Law
These Terms and Conditions, all project proposals, and any contractual or non-contractual disputes arising from them are governed by and construed in accordance with the laws of England and Wales.
8. Amicable Dispute Resolution
If any disagreement or query arises in relation to our services or these terms, both parties agree to first attempt to resolve the matter amicably through direct, good-faith discussions (via email or video call) before initiating any formal court proceedings.
9. Changes to These Terms
We may periodically update these Terms & Conditions to reflect operational updates or changes in UK law. Any updates will be published on this page with an updated revision date. Your continued use of our website or services following an update constitutes acceptance of the revised terms.

11. Cancellations and Refunds
Our services are provided to businesses, not consumers. You may cancel an engagement at any time by written notice to hello@qevantatechnologies.co.uk. You will pay for work completed and reasonable costs incurred up to the date of cancellation. If we have not started work, any deposit is refunded in full within 14 days of your request. Once work has started, the deposit is applied to work done and any unused balance is refunded. If a delivered item does not meet the agreed specification, tell us in writing within 14 days of delivery. We will correct it at no extra charge. If we cannot, we will refund the fee for that item. Refunds are paid to the original payment method, or by bank transfer, within 14 days of being agreed.
